1. Acceptance of Terms
Welcome to Nine. By accessing or using our mobile applications (Nine Customer App and Nine Driver App), website, or any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the services after any changes indicates your acceptance of the new Terms.
2. Description of Services
Nine provides a food delivery platform that connects customers with restaurants and independent delivery drivers. Our services include:
- Food ordering from partner restaurants
- Real-time order tracking
- Delivery services through our driver network
- Payment processing for orders
- Restaurant management tools for merchants
3. User Accounts
3.1 Account Creation
To use certain features of our services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
4. Orders and Payments
4.1 Placing Orders
When you place an order through our platform, you are making an offer to purchase items from the restaurant. The restaurant may accept or reject your order at their discretion based on availability.
4.2 Pricing
Menu prices are set by restaurants and may vary from in-restaurant prices. Delivery fees, service fees, and applicable taxes will be displayed before you confirm your order.
4.3 Payment
By providing payment information, you authorize us to charge the total amount of your order, including all fees and taxes. All payments are processed securely through our third-party payment providers.
4.4 Cancellations and Refunds
You may cancel an order before the restaurant begins preparing it. Once preparation has started, cancellation may not be possible, and refunds will be at our discretion. Refund requests for quality issues must be submitted within 24 hours of delivery.
5. Delivery Services
5.1 Delivery Partners
Deliveries are made by independent contractor drivers who are not employees of Nine. While we strive to ensure timely deliveries, delivery times are estimates and may vary based on traffic, weather, and other factors.
5.2 Delivery Address
You must provide an accurate and complete delivery address. We are not responsible for failed deliveries due to incorrect address information.
5.3 Contactless Delivery
For contactless deliveries, drivers may take a photo of your delivered order as proof of delivery. By selecting contactless delivery, you consent to this practice.
6. Driver Terms
If you are using the Nine Driver App, the following additional terms apply:
- You must have a valid driver's license and appropriate vehicle insurance
- You are an independent contractor, not an employee of Nine
- You must comply with all applicable traffic laws and regulations
- You must handle food items with care and maintain appropriate hygiene standards
- You must use the app's camera features only for legitimate delivery purposes (proof of delivery photos, QR code scanning)
- You must not share customer information with third parties
7. User Conduct
You agree not to:
- Use our services for any illegal purpose
- Harass, abuse, or harm other users, drivers, or restaurant staff
- Provide false or misleading information
- Attempt to gain unauthorized access to our systems
- Use automated systems or bots to interact with our platform
- Interfere with the proper functioning of our services
- Violate any applicable laws or regulations
8. Intellectual Property
All content on our platform, including text, graphics, logos, icons, images, and software, is the property of Nine or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
9. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR LEGALITY OF FOOD ITEMS PROVIDED BY RESTAURANTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Nine, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
12. Dispute Resolution
Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration, except where prohibited by law. You agree to waive your right to participate in class action lawsuits against Nine.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nine operates, without regard to conflict of law principles.
